Terms of service

These terms govern your use of InvoiceCharlie (the “Service”), operated by Zeabyte Limited, New Zealand (“we”, “us”). By creating an account you agree to them. Last updated 17 September 2026.

1. The service

InvoiceCharlie lets you create, send and track invoices, quotes and related documents, record payments and expenses, and produce reports. We may improve or change features over time. We will give reasonable notice of material changes that reduce functionality.

2. Your account

You must provide accurate business details and keep your sign-in email secure. You are responsible for activity under your account and for anyone you invite to your business. You must be at least 18 and use the Service for lawful business purposes.

3. Plans and payment

The Free plan includes a fixed number of invoices per month as shown on our pricing page. Paid plans are billed by Stripe in USD (plus applicable taxes) either per invoice with a monthly cap, or annually, as described at the time you subscribe. You can cancel any time; access continues to the end of the paid period. Fees are non-refundable except where required by law. We may change prices with at least 30 days’ notice; changes apply from your next billing period.

4. Invoice volume

Every paid plan includes 500 invoices per calendar month. Beyond that, each additional 500 invoices is charged at $12, billed monthly and added automatically as you use them, so sending is never interrupted. Two limits protect the service for everyone: 5,000 invoices per business per calendar month, above which we will contact you to agree a suitable plan, and 300 outbound emails per business per day. We may apply either immediately, without notice, where an account appears compromised or is sending unsolicited mail, because sending reputation is shared by every customer.

5. Payments you collect

If you connect a Stripe account, payments from your clients are processed by Stripe under Stripe’s terms and go to your Stripe account. We never hold your funds. We charge a platform fee (shown in your settings) on card payments taken through the Service. You are responsible for refunds, disputes and chargebacks with your clients.

6. Your content and data

You own the data you put into the Service. You grant us a licence to process it solely to provide the Service to you. You can export your data at any time. We do not sell your data and do not use it to train AI models. See our Privacy policy.

7. Acceptable use

Don’t use the Service to send spam, fraudulent invoices, or unlawful content; don’t attempt to breach security or overload the Service; don’t resell it without our written permission. We may suspend accounts that break these rules.

8. Tax and legal compliance

You are responsible for the accuracy of your documents, the tax rates you apply, late-fee legality in your jurisdiction, and your own filings. The Service provides tools and reports, not tax or legal advice.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Support is by email at [email protected].

10. Liability

To the extent permitted by law, the Service is provided “as is”, and our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential loss. Nothing in these terms limits rights you have under consumer law that cannot be excluded.

11. Termination

You may close your account at any time. We may terminate or suspend for breach of these terms. On closure we delete your data within 90 days, except where retention is legally required.

12. Governing law

These terms are governed by the laws of New Zealand and disputes are subject to the New Zealand courts.
